1. Acceptance of Terms

By purchasing, enrolling in, or accessing this virtual educational program ("Program"), you ("Student," "User," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not purchase or participate in the Program.

2. Program Description

This is a virtual educational program delivered through the Kajabi platform and other online platforms, including but not limited to video content, written materials, interactive sessions, and digital resources. The Program is designed for educational purposes and personal development.

2.1 Platform Provider: "The Program" is hosted and delivered through Kajabi, LLC ("Kajabi"), a third-party platform provider. By enrolling in this Program, you also agree to comply with Kajabi's Terms of Use and Privacy Policy, which can be found at kajabi.com. We are not responsible for Kajabi's platform performance, availability, or policies, though we will make reasonable efforts to provide alternative access if needed.

2.2 Community Features our Program Includes: Access to online community features where participants can interact, share experiences, and discuss business and entrepreneurship topics. Community participation is subject to additional terms outlined in Section 9 (Code of Conduct) and community-specific guidelines.

2.3 Coaching and Consulting Services: We offer individual coaching and consulting services that can be booked separately through our website. These services are provided by independent coaches and consultants listed on our platform. Coaching and consulting services are subject to separate agreements and terms outlined in Sections 21-23 of these Terms.

3. Enrollment and Payment

3.1 Enrollment Process:

  • Enrollment is confirmed upon successful payment and acceptance of these Terms
  • You must provide accurate and complete information during registration
  • You must be at least 18 years old or have parental consent to enroll

3.2 Payment Terms:

  • All fees must be paid in full before accessing the Program
  • Prices are subject to change without notice for future enrollments
  • Payment processing is handled through Kajabi's secure payment system and third-party processors
  • By providing payment information, you authorize us and Kajabi to charge your selected payment method

3.3 Course Access Terms:

  • Each course within the Program has individual access terms specified at the time of purchase
  • Access duration varies by course and will be clearly stated on the course description page
  • Some courses may offer lifetime access, while others may have time-limited access
  • Access terms are non-transferable and specific to your individual account

4. Access and Participation

4.1 Program Access:

  • Access to Program materials is granted through the Kajabi platform for the duration specified for each course at the time of purchase
  • You will receive login credentials and access instructions via email upon enrollment confirmation
  • Access is provided through your Kajabi account dashboard
  • Technical requirements include a reliable internet connection and a compatible device (computer, tablet, or smartphone)
  • You are responsible for maintaining your Kajabi account credentials and login information

4.2 Platform Dependency:

  • Program delivery depends on Kajabi's platform availability and functionality
  • While we strive for 99% uptime, we cannot guarantee continuous access due to platform maintenance, updates, or technical issues
  • Kajabi's technical support is available for platform-related issues
  • We will provide reasonable notice of scheduled maintenance when possible

4.3 Student Responsibilities:

  • Maintain the confidentiality of your Kajabi account login credentials
  • Comply with Kajabi's Terms of Use and community guidelines
  • Participate in good faith and respect other participants
  • Comply with all applicable laws and regulations
  • Provide feedback and complete assessments as requested
  • Do not share access credentials or allow others to use your account

5. Intellectual Property Rights

5.1 Program Content:

  • All Program content, including videos, text, graphics, logos, and software, is protected by copyright and other intellectual property laws
  • Content is licensed to you for personal, non-commercial use only
  • You may not reproduce, distribute, modify, or create derivative works without written permission

5.2 Student-Generated Content:

  • You retain ownership of content you create during the Program
  • By participating, you grant us a non-exclusive license to use your feedback and testimonials for promotional purposes
  • You represent that any content you submit does not infringe on third-party rights

6. No Refund Policy

6.1 No Refunds:

  • ALL SALES ARE FINAL. We do not offer refunds, exchanges, or credits for any reason after purchase is completed
  • This no-refund policy applies regardless of course completion, satisfaction level, technical difficulties, or personal circumstances
  • By purchasing, you acknowledge and accept this no-refund policy

6.2 Program Cancellation by Provider:

  • We reserve the right to cancel or postpone a Program due to insufficient enrollment or unforeseen circumstances
  • In the rare case of cancellation by us before Program delivery begins, you will receive a full refund
  • If we discontinue a Program after it has begun, no refunds will be provided, but you will retain access to all materials already released

6.3 Platform-Related Issues:

  • Technical issues with the Kajabi platform do not constitute grounds for refunds
  • We will work with Kajabi to resolve technical issues and provide alternative access when possible
  • Extended platform outages may result in extension of access time, but not refunds

7. Privacy and Data Protection

7.1 Personal Information:

  •  We collect and process personal information in accordance with our Privacy Policy
  •  Your information may be used for Program delivery, communication, and improvement purposes
  •  We implement reasonable security measures to protect your data

7.2 Platform Data Sharing:

  • Your personal information is also subject to Kajabi's Privacy Policy
  • Kajabi may collect and process data related to your use of its platform
  • We may receive analytics and usage data from Kajabi to improve our Programs
  • Data sharing between our systems and Kajabi is necessary for Program delivery

7.3 Recording and Monitoring:

  • Live sessions may be recorded for educational and quality assurance purposes
  • Recordings may be made available to enrolled students through the Kajabi platform
  • You consent to being recorded when participating in live sessions
  • Recordings are stored on Kajabi's servers and subject to their data retention policies

8. Disclaimers and Limitations

8.1 Educational Nature:

  • The Program is for educational purposes only and does not constitute professional advice
  • Results and outcomes may vary among participants
  • We do not guarantee specific learning outcomes or career advancement

8.2 Technical Issues:

  • We are not responsible for technical difficulties, internet connectivity issues, or equipment malfunctions
  • Alternative access methods will be provided when possible
  • Technical support is available during specified hours

8.3 Platform-Related Disclaimers:

  • We are not responsible for Kajabi's platform downtime, technical issues, or service interruptions
  • Kajabi's availability and performance are governed by its own service level agreements
  • We will make reasonable efforts to communicate platform issues and provide updates
  • Alternative access methods will be provided when technically feasible

8.4 Limitation of Liability:

  • Our liability is limited to the amount paid for the Program
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for any losses resulting from Kajabi platform issues or third-party service failures
  • Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

9. Code of Conduct

9.1 Acceptable Behavior:

  • Treat all participants and instructors with respect and professionalism
  • Engage constructively in discussions and activities
  • Respect diverse perspectives and backgrounds

9.2 Prohibited Conduct:

  • Harassment, discrimination, or abusive behavior toward other community members or coaches
  • Sharing of inappropriate, offensive, or illegal content
  • Disruption of Program activities, community discussions, or other participants' learning
  • Violation of intellectual property rights
  • Posting spam, promotional content, or commercial solicitations without permission
  • Sharing false, misleading, or defamatory information
  • Attempting to recruit community members for competing services or programs
  • Sharing personal contact information or attempting to circumvent our booking systems
  • Any conduct that violates applicable laws or regulations

9.3 Enforcement:

  • Violations may result in warnings, suspension, or termination from the Program
  • No refunds will be provided for termination due to code of conduct violations

10. Children's Privacy Protection (COPPA Compliance)

10.1 Age Restrictions:

  • Our Program is not intended for children under 18 years of age
  • We do not knowingly collect personal information from children under 18
  • If we learn that we have collected information from a child under 18, we will delete that information immediately
  • Parents who believe their child under 18 has provided us with personal information should contact us immediately

10.2 Educational Use Restrictions:

  • If our Program is used in an educational setting with students under 18, schools must provide appropriate consent
  • We will use student information only for educational purposes and will not use it for marketing, advertising, or other commercial purposes
  • Educational institutions using our Program with minors must comply with FERPA, COPPA, and applicable state privacy laws

11. Dispute Resolution and Arbitration

11.1 Binding Arbitration:

  • Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Program shall be resolved by binding arbitration rather than in court
  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • The arbitration will take place in New York County, New York, or by telephone/video conference
  • The arbitrator's decision will be final and binding, with very limited rights of appeal

11.2 Class Action Waiver:

  • You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not as part of a class, consolidated, or representative action
  • You waive your right to participate in a class action lawsuit or class-wide arbitration
  • This class action waiver is an essential part of this arbitration agreement

11.3 Exceptions to Arbitration:

  • Either party may seek injunctive relief in court for intellectual property infringement
  • Either party may pursue claims in small claims court if they qualify
  • Either party may seek emergency equitable relief before a court

11.4 30-Day Right to Opt Out:

  • You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms

  • If you opt out, all other terms still apply, but disputes will be resolved in New York courts

12. Professional and Educational Disclaimers

12.1 No Professional Licensing or Certification:

  • Completion of this Program does not provide professional licensing, certification, or accreditation
  • The Program does not meet requirements for any specific professional license or certification unless explicitly stated
  • You are responsible for determining whether the Program meets your professional development or continuing education requirements
  • We do not guarantee acceptance of this Program by any licensing board, employer, or educational institution

12.2 Educational Purpose Only:

  • Content is provided for general educational and informational purposes only
  • Program content should not be used as a substitute for professional advice, consultation, or services

13. Technology and AI Disclaimers

  • We are not responsible for the performance, availability, or data practices of integrated third-party services
  • Third-party service interruptions may temporarily affect Program functionality

  • Algorithmic recommendations are automated and may not reflect our editorial judgment or endorsement

14. User Indemnification

14.1 Indemnification Obligation:

  • You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
    • Your use or misuse of the Program
    • Your violation of these Terms or applicable laws

14.2 Scope of Indemnification:

  • This indemnification includes claims brought by other users, third parties, or government entities

  • We make no representation that Program content is appropriate or available for use outside the United States
  • If you access the Program from outside the United States, you do so at your own risk and are responsible for compliance with local laws

  • You are responsible for maintaining current contact information

19. Termination

19.1 Termination by Student:

  • You may terminate your participation at any time, but no refunds will be provided
  • Access to Program materials will cease upon account deletion or course access expiration
  • Downloaded materials (if any) must be deleted upon termination

19.2 Termination by Provider:

  • We may terminate your access for violations of these Terms or Kajabi's Terms of Use
  • Kajabi may independently suspend or terminate accounts for policy violations
  • Termination may be immediate for serious violations
  • No refunds will be provided for termination due to policy violations

20. General Provisions

20.1 Community Terms and User-Generated Content:

20.1.1 Community Participation:

  • Community features are provided as a benefit to Program participants
  • Community access may be revoked for violations of these Terms or community guidelines
  • We reserve the right to moderate, edit, or remove community content at our discretion
  • Community availability is not guaranteed and may be discontinued at any time

20.1.2 User-Generated Content in Community:

  • You retain ownership of content you post in community areas
  • By posting content, you grant us a non-exclusive, royalty-free license to display, distribute, and moderate such content
  • You represent that your content does not infringe on third-party rights or violate any laws
  • We are not responsible for user-generated content and do not endorse views expressed by community members
  • You may not post copyrighted material, confidential information, or content that violates others' privacy

20.1.3 Community Monitoring and Moderation:

  • We may monitor community activities, but are not obligated to do so
  • Community moderation is provided at our discretion and may be automated or manual
  • We reserve the right to remove content or suspend users without prior notice
  • Reported violations will be investigated and addressed according to our community guidelines

21. Coaching and Consulting Services

21.1 Independent Contractor Relationship:

  • Coaches and consultants listed on our platform are independent contractors, not our employees
  • We act as a platform to connect clients with coaches, but do not provide the coaching services directly
  • Each coach is responsible for their own professional qualifications, licensing, and service delivery
  • We do not guarantee the qualifications, experience, or results of any individual coach

21.2 Booking and Payment for Coaching Services:

  • Coaching and consulting sessions must be booked through our designated booking system
  • Payment is required in advance for all coaching sessions
  • Coaching services are subject to the same no-refund policy as our educational programs
  • Session scheduling, rescheduling, and cancellation policies are set by individual coaches
  • We may charge a platform fee for facilitating coaching bookings

21.3 Coach Vetting and Listing:

  • We use reasonable efforts to vet coaches before listing them on our platform
  • Coach listings include information provided by the coaches themselves
  • We do not verify all claims made by coaches regarding their experience or qualifications
  • Coaches may be removed from our platform at our sole discretion
  • We are not responsible for any false or misleading information provided by coaches

22. Coaching Service Disclaimers and Limitations

22.1 No Guarantee of Results:

  • Coaching and consulting services are provided for educational and motivational purposes only
  • We do not guarantee any specific outcomes, results, or success from coaching services
  • Results depend on individual effort, circumstances, and factors beyond our or the coach's control
  • Past client results or testimonials do not guarantee future performance

22.2 Professional Advice Limitations:

  • Coaching services do not constitute professional advice (legal, financial, medical, or therapeutic)
  • Coaches are not licensed professionals unless specifically stated in their individual profiles
  • You should consult with qualified professionals for specific advice related to your situation
  • We are not responsible for any decisions made based on coaching advice

22.3 Coach-Client Relationship:

  • The coaching relationship is between you and the individual coach
  • We are not a party to the coaching relationship and do not supervise coaching sessions
  • Any disputes with coaches should be addressed directly with the coach first
  • We may assist in dispute resolution, but are not obligated to do so
  • Coaches may have their own terms and policies that supplement these Terms

23. Platform Liability for Coaching Services

23.1 Limited Platform Responsibility:

  • Our role is limited to providing a platform for connecting clients with coaches
  • We are not responsible for the quality, safety, or legality of coaching services provided
  •  We do not monitor or control coaching sessions or communications between coaches and clients
  •  Any injuries, damages, or losses resulting from coaching services are not our responsibility

23.2 Coach Screening Limitations:

  • While we conduct reasonable vetting, we cannot guarantee coach suitability for every client
  • Coaches are responsible for maintaining their own professional standards and ethics
  • We may rely on self-reported information from coaches and cannot verify all claims
  • Background checks, if conducted, may not reveal all relevant information

23.3 Third-Party Coach Actions:

  • We are not liable for actions, omissions, or misconduct by individual coaches
  • Coaches' violations of law or professional standards do not create liability for us
  • You assume the risk of working with coaches listed on our platform
  • We will cooperate with law enforcement if serious misconduct is reported

25. Academic Integrity and Student Conduct

25.1 Academic Honesty Requirements (Partnership with Academic Institutions):

  • All work submitted must be your own original work unless otherwise specified
  • Plagiarism, cheating, or any form of academic dishonesty is strictly prohibited
  • You may not copy, reproduce, or submit work created by others without proper attribution
  • Collaboration is permitted only when explicitly authorized for specific assignments
  • Use of AI tools or assistants must be disclosed when required by course guidelines

25.2 Prohibited Academic Conduct:

  • Submitting work created entirely or substantially by artificial intelligence without disclosure
  • Copying content from other students, websites, or sources without proper citation
  • Sharing course materials, assignments, or assessment content with non-enrolled individuals
  • Using unauthorized assistance during assessments or examinations
  • Misrepresenting your identity or having others complete work on your behalf
  • Circumventing technological measures designed to prevent academic dishonesty

25.3 Academic Integrity Violations:

  • Violations may result in a warning, assignment failure, course dismissal, or permanent account termination
  • No refunds will be provided for termination due to academic integrity violations
  • We reserve the right to use plagiarism detection software and other integrity monitoring tools
  • Repeat violations will result in immediate and permanent removal from all Programs
  • Serious violations may be reported to relevant professional organizations or institutions

26. Data Security and Breach Notification

26.1 Data Security Measures:

  • We implement commercially reasonable security measures to protect your personal information
  • Security measures include encryption, access controls, regular security assessments, and employee training
  • Despite our efforts, no method of transmission or storage is 100% secure
  • We cannot guarantee the absolute security of your information

26.2 Security Incident Response:

  • In the event of a data security incident affecting your personal information, we will:
    • Investigate the incident promptly and thoroughly
    • Take immediate steps to contain and mitigate any breach
    • Notify affected users within a reasonable timeframe as required by applicable law
    • Cooperate with law enforcement and regulatory authorities as appropriate
    • Implement additional security measures to prevent similar incidents

26.3 User Responsibilities for Security:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any suspected unauthorized access to your account
  • You should use strong, unique passwords and enable two-factor authentication when available
  • You must not share your login credentials or allow others to access your account
  • You are responsible for keeping your contact information current for security notifications

26.4 Limitation of Liability for Security Incidents:

  • Our liability for security incidents is limited to the amount paid for the affected Program
  • We are not liable for unauthorized access resulting from your failure to maintain account security
  • We are not responsible for security incidents caused by third-party platforms or service providers
  • This limitation applies to the maximum extent permitted by applicable law

27. Content Moderation and Platform Liability

27.1 User-Generated Content Policies:

  • We may, but are not obligated to, monitor, review, or moderate user-generated content
  • Content moderation may be performed by automated systems, human reviewers, or a combination
  • We reserve the right to remove, edit, or restrict access to any content at our sole discretion
  • Content moderation decisions are final and not subject to appeal
  • We are not liable for user-generated content or for moderation decisions

27.2 Section 230 and Platform Immunity:

  • We operate as an interactive computer service provider under 47 U.S.C. § 230
  • We are not liable for content created by users, coaches, or other third parties
  • This immunity does not apply to content we specifically create, endorse, or promote
  • Federal criminal law and intellectual property law claims are not covered by this immunity
  • We retain the right to restrict access to or the availability of objectionable content

27.3 Algorithmic Content Curation:

  • Our platform may use algorithms to organize, rank, or recommend content
  • Algorithmic curation is automated and does not constitute editorial endorsement
  • We disclaim liability for algorithmic recommendations or content suggestions
  • Users should independently evaluate all algorithmically-suggested content
  • We reserve the right to modify algorithmic systems without notice

27.4 Sponsored and Paid Content Disclosure:

  • Any sponsored, paid, or promoted content will be clearly disclosed as such
  • Community posts by coaches or staff members promoting services will be identified
  • We may receive compensation for featuring certain coaches or content
  • Commercial relationships will be disclosed in accordance with FTC guidelines
  • User-generated content that promotes external services may be subject to additional restrictions

28. General Provisions

28.1 FTC Compliance and Penalty Offense Protection:

  • We comply with Federal Trade Commission regulations regarding educational services and marketing
  • All testimonials and success stories represent exceptional results and are not typical outcomes
  • We do not make deceptive claims about business growth, earnings potential, or guaranteed results
  • Any business growth examples are provided for illustrative purposes only and do not predict individual success
  • We maintain substantiation for any claims made about Program benefits or outcomes
  • Marketing materials comply with FTC guidelines regarding endorsements, testimonials, and advertising

28.2 Wire Fraud and Criminal Law Compliance:

  • We do not engage in fraudulent schemes or deceptive practices
  • All Program marketing and sales practices comply with federal and state criminal laws
  • We do not make false representations about Program content, outcomes, or benefits
  • Any forward-looking statements are based on reasonable assumptions and historical data
  • We maintain honest and transparent business practices in all consumer interactions

28.3 Governing Law:

  • These Terms are governed by the laws of the State of New York and the laws of the United States
  • Any disputes will be resolved in the state or federal courts located in New York County, New York
  • You consent to the personal jurisdiction of such courts

28.4 Entire Agreement:

  • These Terms constitute the entire agreement between you and us
  • Any modifications must be in writing and signed by both parties

28.5 Severability:

  • If any provision is found unenforceable, the remainder of these Terms will remain in effect
  • Invalid provisions will be replaced with enforceable provisions that achieve the same intent

28.6 Third-Party Platform:

  • These Terms are supplemental to and do not replace Kajabi's Terms of Use
